ADT agreed on 29 October 2026 to be acquired by Thrive Holdings for US$10.00 a share in cash, a deal that values the US home security company at about US$7.6bn in equity and US$15.3bn including debt.

Why Thrive Holdings is buying ADT Inc.

ADT is to become the foundation of Thrive's smart home security business, with the buyer saying it brings the capital and patience to invest over decades. Thrive said ADT's data and privacy policies would remain unchanged and that no new data sharing would take place without customer permission.

Deal terms and financing

The cash price is a 45.6% premium to ADT's unaffected close of US$6.87 on 27 October and 52.1% to its 30-day volume-weighted average. Apollo-managed funds are providing the financing. ADT may solicit alternative proposals during a 30-day go-shop to 28 November; outstanding employee equity awards are expected to be assumed by Thrive and converted at the deal price.

Regulatory approvals and timing

Completion requires ADT shareholder approval and US antitrust clearance and is expected in the first quarter of 2027. ADT will then be delisted from the New York Stock Exchange.

Market context

ADT shares rose about 34% on the day of the announcement to trade just below the offer price. Apollo took ADT public in 2018 and sold its remaining stake in May 2026.
