Vertiv has completed its acquisition of UtilityInnovation Group, a designer of microgrid and onsite power systems for data centres, for about US$1.45bn in upfront cash, the company said on 27 October 2026.

Why Vertiv Holdings Co (via Vertiv Corporation) is buying Utility Innovation Holdings, Inc. (UtilityInnovation Group)

Vertiv said the deal extends its data centre power portfolio towards the grid interconnect, adding microgrid controls, onsite generation orchestration, customised microgrid switchgear and behind-the-meter power architecture for operators facing grid capacity limits.

Deal terms and financing

Vertiv paid about US$1.45bn in cash at closing, about 13 times UIG's expected 2027 EBITDA. Up to US$1.15bn of further cash consideration is payable if UIG hits EBITDA targets over 12- and 24-month periods; Vertiv said the multiple would be significantly lower if the full earnout is paid.

Market context

Founded in 2020, UIG is headquartered in Raleigh, North Carolina, with a European headquarters in Dublin and manufacturing in North Carolina and New Jersey. Vertiv first announced the agreement in early September 2026.
