Dutch regulator blocks Zwanenberg's Unox deal

The ACM says the takeover would leave supermarkets with too few suppliers of smoked sausages and long-life soups.

The Netherlands Authority for Consumers and Markets has refused to approve Zwanenberg's acquisition of Unilever's Unox brand, the regulator said on 27 October 2026, citing the risk of higher prices for consumers.

Why Zwanenberg Food Group (Meatpoint) is buying Unox and Zwan brand assets (from Unilever)

Zwanenberg, which produces meat products, soups and sauces including many supermarket own-label lines, sought to add Unox, a leading brand in smoked sausages, frankfurters and long-life soups.

Deal terms and financing

Financial terms were not disclosed. The deal covered Unilever assets relating to the Unox and Zwan brands.

Regulatory approvals and timing

The ACM said Zwanenberg would hold market shares of about 60% to 85% in smoked and cooked sausages and long-life soups, and that proposals to sell part of its production capacity to a buyer were insufficient and too vague. The companies can appeal.

Market context

The parties notified the deal in February 2025. In June 2025 the ACM ruled that a licence was required, and the companies applied for one in July 2025.
