Agilent Technologies has agreed to acquire Proscia, a digital pathology software provider, for US$240m in cash at closing and up to US$30m more tied to performance milestones.
Why Agilent Technologies is buying Proscia
Agilent chief executive Padraig McDonnell said digital pathology was becoming the foundation for pathology data generation, analysis and application. Agilent said the deal creates a platform linking tissue data generation with AI-based interpretation across research, drug development and diagnostics.
Deal terms and financing
The all-cash deal is worth US$240m at closing with up to US$30m of milestone payments. Proscia had trailing 12-month revenue above US$18m and will join Agilent's Life Sciences and Diagnostics Markets Group.
Regulatory approvals and timing
The transaction is subject to customary closing conditions and is expected to complete early in Agilent's 2027 fiscal year.
Market context
The two companies have partnered since a 2022 distribution agreement for a digital diagnostic pathology system. Proscia was named 2026 Best in KLAS for digital pathology.
