MCJ, the parent of Japanese PC maker MouseComputer, said on 5 February it would go private through a management buyout with Bain Capital, which launched a tender offer at ¥2,200 a share valuing the deal at up to about ¥200bn.
Why Bain Capital (BCPE Meta Cayman, L.P.) is buying MCJ Co., Ltd.
MCJ said going private would speed up decision-making while drawing on Bain's management expertise. Bain plans to support growth in domestic PC sales, overseas expansion and acquisitions, according to the tender offer summary reported by Nihon M&A Center.
Deal terms and financing
The offer targeted 94.5 million shares with a minimum of 62.8 million. Founder Yuji Takashima, who holds more than 30%, supported the offer and agreed to reinvest after it closed.
Regulatory approvals and timing
The Tokyo Stock Exchange placed MCJ shares under supervision on 5 February pending delisting. The offer, originally due to end on 24 March, closed on 7 April 2026 with 70.8 million shares tendered, making BCPE Meta Cayman MCJ's parent from 14 April; delisting follows a squeeze-out.
Market context
MCJ sells build-to-order and budget PCs under the MouseComputer brand and runs entertainment businesses. Management buyouts backed by private equity have become a common route for Japanese companies to delist amid governance reforms.
