The two companies had already signed a basic agreement to work together on regional social issues; after the offer they plan to combine resources to speed up local economic revitalisation and problem-solving.

Deal terms and financing

The offer sought 9,839,972 shares with a minimum of 6,560,000 and no maximum, at a 61.36% premium to Jimoty's closing price of ¥880 on 15 May. Jimoty's board supported the bid and recommended that holders tender.

Regulatory approvals and timing

The offer ran from 18 May to 29 June 2026 without extension. With 8,658,670 shares tendered, CCC's group stake rose to 87.99% on 6 July, and CCC said it would take steps to become the sole shareholder, after which Jimoty will be delisted.

Market context

CCC runs retail, customer-data marketing and loyalty-point businesses. Jimoty is listed on the TSE Growth Market.
