Kaga Electronics said on 15 May it would launch a tender offer for Shinko Shoji, a Tokyo-based distributor of integrated circuits, semiconductors and electronic components, at ¥1,580 a share, valuing the shares sought at about ¥46bn.
Why Kaga Electronics Co., Ltd. is buying Shinko Shoji Co., Ltd.
Kaga cited complementary product line-ups and sales and procurement channels, the sharing of management resources, and the chance to strengthen its electronics manufacturing services business and overseas network.
Deal terms and financing
The ¥1,580 cash price was a 6.40% premium to Shinko Shoji's close on 14 May. Kaga already held 515,000 shares, or 1.74%. Shinko Shoji's board supported the bid and later cut its dividend forecast to zero because the offer price assumed no further payouts.
Regulatory approvals and timing
The offer period, originally 18 May to 26 June, was extended several times to 3 August, and on 17 July Kaga lowered the minimum acceptance from 19,226,700 to 15,988,500 shares. The offer succeeded with 20,938,007 shares tendered, and Shinko Shoji became a consolidated subsidiary on 10 August. Kaga intends to acquire the remaining shares, after which Shinko Shoji is expected to be delisted.
Market context
In the year to March 2026 Kaga reported net sales of about ¥659bn and Shinko Shoji about ¥99bn. Japan Credit Rating Agency said the purchase would be financed with bank loans.
