Why Vossloh AG (Vossloh Digital Solutions GmbH) is buying Cordel Group plc

Vossloh has made digital rail solutions a strategic priority and said combining Cordel's LiDAR imaging with its own laser inspection technology could enable automated, continuous track monitoring. It also cited access to the US market, where Cordel has commercial traction.

Deal terms and financing

The cash offer, made through Vossloh Digital Solutions GmbH, was implemented by a scheme of arrangement. The price is more than double Cordel's undisturbed share price.

Regulatory approvals and timing

The deal received UK National Security and Investment Act clearance, was sanctioned by the court on 11 August and became effective on 13 August 2026, after which Cordel's shares were cancelled from AIM.

Market context

Cordel and Vossloh ran a joint pilot project in continental Europe in 2025 to test the technical fit.
