Ambrose Healthcare said on 20 October 2026 that it had acquired all of AM-Pharma, a biotech based in Utrecht, the Netherlands, in a deal worth up to €161m to AM-Pharma's shareholders.
Why Ambrose Healthcare is buying AM-Pharma B.V.
AM-Pharma's ilofotase alfa is a recombinant alkaline phosphatase being developed for hypophosphatasia, a rare inherited disorder of bones and teeth. Ambrose said the drug's safety database of almost 700 patients supports a development plan built around a single pivotal study.
Deal terms and financing
Consideration is made up of an upfront payment, milestone payments tied to commercialisation of the HPP treatment, and royalties on future sales. Other financial terms were not disclosed.
Regulatory approvals and timing
The acquisition has already been completed. Ilofotase alfa holds orphan drug designations from both the FDA and the EMA.
Market context
Ambrose acquires clinical-stage assets with existing human safety and efficacy data. Its pipeline also includes Val401 for cancer cachexia and renzapride for gastrointestinal symptoms of cystic fibrosis. The main approved HPP therapy, AstraZeneca's Strensiq, starts to lose market exclusivity in 2027.
