Autoneum has agreed to acquire Trèves Group, a French supplier of automotive acoustic and interior components, for up to €64m in shares and cash, the Swiss company said on 2 November 2026.

Why Autoneum Holding Ltd is buying Trèves Group

Autoneum said the deal is driven mainly by cost synergies and complements its footprint and product range. It expects recurring annual synergies of more than CHF 50m by 2029 from footprint optimisation, administrative savings and procurement, against restructuring costs of about CHF 60m in 2027 and 2028, and expects the deal to add to earnings per share from 2028.

Deal terms and financing

Autoneum will pay about €40m at closing, of which about €7.5m in cash and the rest in newly issued shares subject to a three-year lock-up, plus an earn-out of up to €24m. The company put the price at about 3.1 times EV/EBITDA after synergies. A new underwritten CHF 200m term loan will fund Trèves' ongoing operations, including the refinancing of its bank debt and working capital; Autoneum expects pro forma leverage of about 2.0 times net debt to EBITDA at closing. Fonds Avenir Automobile, one of Trèves' owners, plans to propose a representative for election to Autoneum's board.

Regulatory approvals and timing

Closing is expected early in the first quarter of 2027, according to Keystone-SDA as published by Blue News.

Market context

Trèves had revenue of about €720m in 2025 and employs about 4,600 people at 26 production sites in 15 countries, with hubs in Morocco, Romania and Brazil. Autoneum, whose 2025 revenue was just under CHF 2.3bn, expects combined revenue of more than CHF 2.9bn for 2026.
