A fund managed by Bankinter Investment has launched a voluntary cash offer of €15.7883 a share for all of Atom Hoteles SOCIMI, valuing the Spanish hotel property company at €509.8m, according to the offer announcement published on 30 October 2026.
Why Bankinter Investment Inversión Alternativa II, FIL (managed by Bankinter Investment SGIIC) is buying Atom Hoteles SOCIMI, S.A.
The bidder said Atom has a diversified portfolio of high-quality, mainly four- and five-star hotels in established urban and holiday destinations, and that it values the substantial rental income the company earns, which as a SOCIMI it must largely pay out as dividends.
Deal terms and financing
The offer is not subject to any condition and is not governed by Spain's takeover rules for regulated markets, because Atom trades on the BME Growth multilateral trading facility. It will be funded from investors' commitments to the fund and from irrevocable agreements under which co-investors will buy part of the shares acquired at the offer price on settlement. Bankinter Investment SA, which owns about 5.35%, intends to tender only 0.35% and keep 5%, while Global Mergers Acquisitions Capital will not tender its 5.01%.
Regulatory approvals and timing
No regulatory approvals are required as a condition. Acceptances run from 2 November to 4 December 2026, with trade date on 16 December and settlement on 18 December, unless the period is extended or closed early.
Market context
Atom said on 30 October that Savills valued its portfolio at €842.5m on an attributable basis, up 4.59% like for like since December 2025, and that it has distributed more than €246m to shareholders since 2018. The same day it sold the AC Sevilla Forum hotel for €13.5m, and its board recognised a success fee for managers Bankinter Investment and GMA, recalculated at €86.5m plus VAT by reference to the offer price.
