Why Hyundai Capital Services and Hyundai Motor Company is buying Beijing Hyundai Auto Finance (47% held by BAIC Investment and Beijing Hyundai)
BAIC Motor said the exit would optimise the group's asset structure, improve capital efficiency and overall return on assets.
Deal terms and financing
BAIC Investment will receive RMB2,207.70m for its 33% and Beijing Hyundai RMB936.60m for its 14%, through a capital reduction that cuts registered capital from RMB4,000m to RMB2,120m. The prices value the company at RMB6,690m, in line with an asset-based appraisal.
Regulatory approvals and timing
The deal is a major transaction for BAIC Motor under Hong Kong listing rules and needs approval at an extraordinary general meeting, as well as regulatory approvals and market regulator registration.
Market context
BAIC Investment is a 97.95%-owned subsidiary of Hong Kong-listed BAIC Motor.
