L.B. Foster announced on 29 October 2026 that it had acquired the operating assets of Dulworth Enterprises for about US$52.2m in cash, in a deal signed and closed the previous day.

Why L.B. Foster Company (via CXT Incorporated) is buying Dulworth Enterprises, Inc. (operating assets)

L.B. Foster said the acquisition expands its manufacturing capacity and product range and increases its exposure to precast concrete and high-growth markets. Chief executive John Kasel said the company had long recognised the value of Dulworth's technology through an existing relationship.

Deal terms and financing

CXT Incorporated paid US$52.18m in cash, subject to customary indemnification holdbacks, funded from cash and borrowings under L.B. Foster's revolving credit facility.

Market context

Dulworth, based in Rice, Texas, focuses on residential wastewater precast products and its Aeris aerobic treatment systems. The business will be folded into L.B. Foster's Precast Concrete Products unit within its Infrastructure Solutions segment.
