Sanlam on 5 October 2026 offered R505 a share in cash for the Santam shares it does not already own, valuing the minority stake at about R21.7bn and the whole of the short-term insurer at about R58.1bn.

Why Sanlam Limited (through Sanlam Life Insurance) is buying Santam Limited (minority shares not already owned)

Sanlam calls full ownership a natural next step in the relationship. It says the deal would simplify group governance and reporting, support a more integrated offer across general insurance, life insurance and asset management, and help deliver its Vision 2030 targets.

Deal terms and financing

The offer will be made through Sanlam Life by way of a scheme of arrangement and is fully funded in cash. The price is a 26.6% premium to Santam's close on 2 October 2026, 25.0% to the 30-day VWAP and 28.6% to the 90-day VWAP. For Sanlam the deal is a Category 2 transaction, so its own shareholders do not need to approve it.

Regulatory approvals and timing

The scheme needs the approval of eligible Santam shareholders, with at least 75% of votes cast, as well as Prudential Authority, Reserve Bank and JSE approvals. The Takeover Regulation Panel oversees it as an affected transaction. The longstop date is 31 March 2027 and a circular is due on or about 3 November 2026.

Market context

Santam is South Africa's largest short-term insurer and has been majority-owned by Sanlam for decades. If the scheme is implemented, its listings on the JSE, the Namibian Securities Exchange and A2X Markets will end.
