Hubei Sanxia New Building Materials said on 19 October 2026 that it would acquire 100% of Zhuhai Saiwei Electronic Materials by issuing shares and paying cash, and raise up to RMB1bn of matching funds.

Why Hubei Sanxia New Building Materials Co., Ltd. is buying Zhuhai Saiwei Electronic Materials Co., Ltd. (100%)

Zhuhai Saiwei develops and produces lithium-ion battery electrolytes and new membrane materials. The deal would take Sanxia from building materials into the lithium battery supply chain.

Deal terms and financing

Consideration shares will be issued at RMB2.50 each. The final price, the split between shares and cash and the number of shares to be issued will be set out in a later restructuring report once audit and valuation work is complete. Dangyang City Investment, the controlling shareholder, will take part in the matching placement, which makes the deal a related-party transaction.

Regulatory approvals and timing

The deal needs further board and shareholder approvals and review by the Shanghai Stock Exchange and registration with the China Securities Regulatory Commission. Sanxia's shares were suspended from 29 September and resumed trading on 20 October.

Market context

Zhuhai Saiwei's revenue rose from RMB1.064bn in 2024 to RMB1.676bn in 2025 and reached RMB2.528bn in the first eight months of 2026, with net profit of about RMB75m in that period. The 28 September plan had covered at least 53.14% of the company.
