Changzhou Galaxy Century Microelectronics will pay RMB645m in new shares for Hengtaike Semiconductor (Shanghai), according to a draft restructuring report published on 16 October.

Why Changzhou Galaxy Century Microelectronics (Yinhe Micro) is buying Hengtaike Semiconductor (Shanghai) (100%)

Yinhe Micro said its products are concentrated in low-voltage devices and that Hengtaike would fill its gaps in mid- and high-voltage power semiconductors, speeding up its automotive-grade and high-voltage product launches.

Deal terms and financing

Yinhe Micro will buy 100% of Hengtaike from three shareholders, paying entirely in new shares. Hengtaike was valued at RMB585.88m by the income approach at 31 May 2026; the price reflects a RMB64.5m capital injection by two sellers after the valuation date. The sellers have given profit commitments.

Regulatory approvals and timing

The deal is a related-party transaction but not a major asset restructuring or a backdoor listing, and control of Yinhe Micro will not change. It needs shareholder approval, Shanghai Stock Exchange review and CSRC registration.

Market context

Yinhe Micro first published the plan in late June after suspending its shares on 11 June.
