Why BioMarin Pharmaceutical Inc. is buying Alesta Therapeutics

BioMarin said ALE1 could become the first oral therapy for hypophosphatasia, offering an alternative to injectable treatments and helping it compete in larger rare disease markets. The programme will join BioMarin's Skeletal Conditions business unit.

“ALE1 is a strong strategic fit for BioMarin, bringing a potential oral alternative to the injectable therapies available today for people living with HPP around the world”Alexander Hardy, President and CEO, BioMarin

Deal terms and financing

Alesta shareholders receive $275m upfront and up to $215m on development and regulatory milestones. Before closing, Alesta spun out all non-ALE1 assets and its employees into a new entity, so no Alesta staff transferred to BioMarin. BioMarin funded the deal with cash on hand and said that, excluding the upfront payment, it would be modestly dilutive to 2026 results.

Regulatory approvals and timing

The deal was approved by both boards and BioMarin announced its completion on 1 September 2026.

Market context

Alesta was founded in 2021 with first institutional backing from Thuja Capital and Droia Ventures; later investors included Frazier Life Sciences, Novartis Venture Fund and RTW Investments. ALE1 targets inorganic pyrophosphate, the metabolite at the centre of the disease.
