Advent has agreed to acquire Vermeg, a provider of technology for capital markets and life insurance, from Charterhouse Capital Partners, the seller said on 2 November 2026. A wholly owned subsidiary of the Abu Dhabi Investment Authority will join as a minority co-investor.
Why Advent International (with ADIA as minority co-investor) is buying Vermeg
Charterhouse said that during its ownership Vermeg became a more focused software business with a strong recurring revenue model, repositioned around its Capital Markets and Insurance platforms, with investment in technology, AI and international expansion.
“We are proud to have worked alongside Badreddine and the Vermeg management team to support the Company's development into a leading provider of mission-critical software to the global financial services industry.”
Deal terms and financing
Charterhouse is selling its participation in Vermeg to Advent, with ADIA's subsidiary as a minority co-investor. Founder Badreddine Ouali will remain a shareholder. No price was disclosed. Evercore advised Vermeg and Charterhouse, Sycomore advised the founder and management, and Kirkland & Ellis advised Advent.
Regulatory approvals and timing
Completion is expected in the first quarter of 2027, subject to customary closing conditions, including regulatory approvals.
Market context
Charterhouse has backed Vermeg since 2020. The sale is its third exit in twelve months, after Casa Optima and a partial realisation of Novétude Group, and it has returned more than €1bn to investors over two years.
