Carrefour said on 19 October 2026 that it had reached an agreement with Belgium's Colruyt Group to acquire Codifrance, a French wholesaler serving independent convenience stores, at an enterprise value of €152m.
Why Carrefour SA is buying Codifrance
Carrefour said the acquisition fits its Carrefour 2030 strategy by strengthening its leadership in convenience retail and its support for independent retailers. It will draw on Codifrance's client base, logistics network and staff. Chief executive Alexandre Bompard described Codifrance as highly complementary to Carrefour Proximité.
Deal terms and financing
Codifrance supplies about 3,100 clients in France, including Coccinelle and CocciMarket stores, and had revenue of €307m in its 2025/26 financial year. It employs nearly 380 people at three distribution centres. Colruyt said it received a firm offer from Carrefour on 16 October in the form of a unilateral purchase promise.
Regulatory approvals and timing
Colruyt will decide whether to exercise the option only after informing and consulting employee representatives. Completion is expected in the first half of 2027, subject to clearance by France's Autorité de la concurrence and other customary conditions.
Market context
Colruyt announced exclusive negotiations with Carrefour on 9 October. Earlier press reports had put Carrefour's offer at about €155m and said Intermarché was also interested.
